1. Introduction

These Terms and Conditions (“Agreement”) govern your use of the services provided by Planet Apparel Merch LTD (referred to as “We,” “Us,” or “Our”) to you (“Client” or “You”). By accessing or using our services, you agree to comply with and be bound by this Agreement. If you do not agree with these terms, please do not use our services.

2. Services

2.1. Web Store Development: We will provide web store development services as agreed upon with the Client, under the name of “Planet Apparel Merch LTD.” The scope of work, timeline, and fees for these services will be detailed in a separate agreement or proposal.

2.2. Order Fulfillment: We will handle the fulfillment of orders placed on the web store(s) developed by “Planet Apparel Merch LTD,” including but not limited to inventory management, packaging, shipping, and customer support as outlined in the separate agreement or proposal.

2.3. Lost Orders and Delivery Services:

2.3.1. Once orders have been handed over to third-party delivery services for shipping and delivery, “Planet Apparel Merch LTD” shall not be liable for any loss, theft, damage, or delay of such orders.

2.3.2. We will make reasonable efforts to assist clients in tracking and resolving issues related to lost or delayed orders with the respective delivery service providers. However, ultimate responsibility for the shipment lies with the chosen delivery service, and their terms and conditions shall apply.

2.3.3. Clients are encouraged to review and understand the terms and policies of the selected delivery service and to consider obtaining appropriate insurance or guarantees for valuable or time-sensitive shipments.

3. Client Responsibilities

3.1. **Cooperation:** The Client agrees to cooperate fully with “Planet Apparel Merch LTD,” providing any necessary information, materials, and access to systems as required to complete the services.

3.2. **Content Ownership:** The Client retains ownership of all content, data, and intellectual property provided to “Planet Apparel Merch LTD” for use in the web store development. The Client grants “Planet Apparel Merch LTD” a non-exclusive license to use such materials solely for the purpose of providing the services.

4. Payment

4.1. **Fees:** The Client agrees to pay the fees for web store development and order fulfilment services provided by “Planet Apparel Merch LTD” as specified in the separate agreement or proposal.

4.2. Payment Terms: Payment terms, including due dates and methods of payment, will be detailed in the separate agreement or proposal.

5. Confidentiality

Both parties agree to keep all non-public information and materials exchanged during the course of this Agreement confidential and not disclose them to third parties unless required by law.

6. Limitation of Liability

To the fullest extent permitted by law, the liability of “Planet Apparel Merch LTD” for any damages, whether arising from negligence, breach of contract, or otherwise, shall be limited to the fees paid by the Client for the services under this Agreement.

7. Termination

Either party may terminate this Agreement upon written notice to the other party if the other party breaches any material term or condition of this Agreement. In the event of termination, the Client shall pay any outstanding fees for services rendered up to the date of termination.

8. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the English courts.
